We are looking for a lawyer with international experience to work with corporate structures, M&A, and compliance procedures. In this role, you will be involved in transaction support, drafting and reviewing contracts, corporate and tax structuring, as well as interacting with European and offshore jurisdictions (BVI, Nevis, SVG, etc.).
Responsibilities
Mergers & Acquisitions (M&A): Assisting companies in buying, selling, or merging with other businesses, including conducting due diligence, negotiating terms, and drafting agreements.
Contract Drafting and Review: Drafting, reviewing, and negotiating contracts, including those related to partnerships, joint ventures, and supplier agreements.
Corporate Governance: Providing guidance on the management and operation of a company in compliance with corporate governance rules and regulations.
Compliance and Regulatory Issues: Ensuring that companies adhere to local, national, and international regulations, including those related to finance, trade, and employment.
Additionally:
Conduct research on legal issues and provide summaries and updates to the legal team.
Assist with the preparation, review, and proofreading of legal documents, including contracts, agreements, and memoranda.
Organize and maintain physical and digital files, ensuring confidentiality and accessibility of sensitive information.
Coordinate with internal teams and external parties to gather information and facilitate document sharing.
Manage scheduling, including meetings, court dates, and appointments, and ensure timely reminders for key deadlines.
Track and monitor regulatory changes relevant to the consulting business, preparing reports for the team.
Support attorneys in preparing for client meetings and court proceedings, including document preparation and scheduling.
Assist with document filing and retrieval, both in physical storage and within legal databases.
Handle correspondence with clients, external counsel, and other stakeholders under attorney supervision.
Perform other administrative tasks to ensure smooth functioning of the legal team.
Requirements
Master’s degree in Law.
Relevant experience in supporting companies related to the different sectors including high risk sectors.
English language: upper-intermediate level or higher.
Experience with European and international jurisdictions (SVG, Nevis, BVI, etc.) will be advantageous.
Experience in working with various assets of companies and individuals.
Experience in corporate and tax structuring.
Experience in compliance procedures.
Skills in developing contracts and agreements with international counterparties.
