Overview
We are a diversified Group of Companies seeking to recruit a proactive and detail-oriented Corporate Administrator to support the Legal Department with day-to-day corporate administration, governance matters and general company secretarial work across multiple jurisdictions/entities.
Key Responsibilities
· Provide administrative support to the Legal Department on corporate and governance matters across the Group.
· Maintain and organise electronic and hard copy contract files, statutory records, corporate files, and legal documentation, ensuring confidentiality and version control.
· Assist with incorporation of companies, restructurings, strike-offs and other corporate changes.
· Prepare board and shareholders resolutions, powers of attorney and standard corporate documents.
· Coordinate execution of documents, signatures, certifications and apostille/legalisation.
· Liaise with external lawyers, corporate service providers, banks and government authorities.
· Maintain up-to-date contracts register capturing key contract data, statuses, renewal dates, notice periods and other critical deadlines, while proactively monitoring upcoming renewals, termination notice dates and related milestones, and notifying relevant stakeholders in advance.
· Monitor annual compliance obligations, filing deadlines, renewals and licence requirements.
· Assist with KYC/AML requests, due diligence packs and corporate information requests.
· Support opening of bank accounts and related corporate documentation processes.
· Track legal matters, deadlines and action points to ensure timely follow-up.
· Maintain accurate filing systems (electronic and hard copy where required).
· Coordinate meetings, agendas and circulation of documents where needed.
Considered an Advantage
· Exposure to the initial review of simple and standard-form agreements such as NDAs, service agreements, supplier agreements and engagement letters, with ability to escalate non-standard matters to Legal Counsel.
· Familiarity with checking contracts against approved templates, internal policies and pre-agreed commercial terms, and flagging deviations where required.
· Ability to prepare concise summaries of key contractual terms, including scope, duration, termination rights, fees, renewal dates, key obligations and notable risks.
Candidate Profile
· Previous experience in a law firm corporate department, corporate services provider, trust/fiduciary firm, or group company legal/corporate administration role
· Familiarity with company secretarial matters, corporate governance and statutory filings
· Strong organisational skills and ability to manage multiple tasks and deadlines simultaneously
· Good understanding of corporate documentation and compliance processes
· Professional communication skills in English (written and verbal)
· Good knowledge of Microsoft Office
· Ability to work independently and be solution-oriented
· High level of integrity and discretion
