In-House Legal Counsel & Head of Corporate Administration, Larnaca – IHLC/06/26

Our client is seeking to recruit an experienced and highly professional In-House Legal Counsel & Head of Corporate Administration to join its headquarters in Larnaca. The successful candidate will provide comprehensive legal support across the Group, ensuring compliance with applicable laws and regulations, managing corporate governance matters, and supporting the organisation’s strategic and operational objectives.

Main Responsibilities

• Provide comprehensive legal advice and support to the Group on a wide range of legal and corporate matters
• Communicate and coordinate with external legal advisors regarding ongoing legal cases and legal opinions
• Manage the corporate administration function for the allocated portfolio, including preparation of resolutions, minutes, powers of attorney, and corporate records
• Conduct legal due diligence for mergers, acquisitions, strategic transactions, and investments, including start-up investments
• Draft, review, and negotiate various agreements, including shareholder agreements, employment agreements, and vendor contracts
• Resolve disputes arising from contractual terms and conditions
• Ensure compliance with Registrar of Companies filing requirements across multiple jurisdictions, including Cyprus, the UK, Belize, and the BVI
• Handle company filings and submissions through e-filing systems and relevant authorities
• Conduct property conveyancing and support real estate transactions
• Communicate with associates, agents, clients, and external stakeholders regarding legal administration matters
• Monitor changes in laws and regulations affecting the Group’s operations and provide guidance accordingly
• Support management with internal legal and corporate administration requirements

Required Qualifications

• Admission to the Cyprus Bar Association or another recognised legal jurisdiction
• Minimum 7 years of experience as an In-House Legal Counsel, Corporate Lawyer, Legal Advisor, or in a similar role
• Holder of an LLB degree
• LLM in Corporate Law, Commercial Law, or another related field (considered an advantage)
• Strong knowledge of corporate, commercial, employment, and contract law
• Experience with UK property transactions and international real estate portfolios
• Knowledge of corporate governance, regulatory compliance, and company administration
• Experience with Registrar of Companies filings and corporate procedures
• Strong analytical, organisational, and problem-solving skills
• Ability to manage multiple priorities and provide practical legal solutions
• High level of integrity, professionalism, and confidentiality
• Proficiency in Microsoft Office tools
• Excellent communication and stakeholder management skills
• Fluency in English and Greek, both written and verbal
• Property conveyancing experience (considered an advantage)
• Knowledge of additional languages (considered an advantage)

Remuneration & Benefits

• Annual salary range of €40,000 – €50,000 k gross
• Annual performance and salary review
