Key Responsibilities:<ul><li>&nbsp;Advise clients and internal stakeholders on corporate governance matters, ensuring compliance with international, EU and Cyprus Law.</li><li>Provide legal counsel on trust structures, estate planning, to ensure clients' interests are protected and legal obligations are met.</li><li>Ensure compliance with all relevant laws and regulations in corporate services, including anti-money laundering (AML), data protection, and financial services regulations.</li><li> Draft, review, and negotiate a wide variety of corporate legal documents, including contracts, agreements, trust deeds, corporate resolutions, minutes, and powers of attorney, SHA, SPA, M&amp;A, ensuring clarity, accuracy, and legal compliance.</li><li> Identify potential legal risks and business transactions and provide strategies for risk mitigation while supporting business objectives.</li><li> Manage legal disputes, including litigation, arbitration, and settlement negotiations, particularly in relation to corporate governance.&nbsp;</li><li> Work closely with clients to understand their needs, provide tailored legal advice, and develop long-term strategies that align with their business goals.</li><li>Provide legal training to internal teams on regulatory changes, compliance requirements, and best practices in corporate governance.</li><li> Stay informed on changes in laws, regulations, and market trends related to corporate law, commercial law, real estate and wealth management.</li><li>Manage legal aspects of financial transactions, financial arrangements, ensuring compliance and protecting clients’ interests.</li><li>Prepare reports and submissions to regulatory authorities as required by law, including filings with the Cyprus Registrar of Companies, VAT, and tax authorities. </li><li>Advise clients on real estate transactions, including drafting agreements and conducting deals related to real estate assets.</li><li>Oversee the maintenance of corporate files and registers, ensuring they are up-to-date and compliant with legal requirements.</li><li>Ensure compliance with anti-money laundering legislation and perform due diligence on clients to ensure legal compliance in fiduciary services.</li><li>Advise on procedures for opening bank accounts in Cyprus and other jurisdictions, ensuring all regulatory requirements are met.</li><li>Provide legal advice/opinion on corporate and/or commercial matters.</li><li>Advise on and perform corporate re-organizations and restructuring. </li><li>Coordinate communication with local authorities, including the Cyprus Registrar of Companies, Land Registry, VAT, and tax authorities, to ensure smooth corporate administration and compliance.</li></ul>&nbsp;Qualifications and Skills:<ul><li>University Degree in Law; Master’s degree will be considered an advantage </li><li>Lawyer qualification from the Cyprus Bar Association. </li><li>Minimum of 3 years of experience in the field of corporate, commercial and real estate law. </li><li>Ability to analyze complex legal issues, identify risks, and provide strategic legal solutions.</li><li>Excellent written and verbal communication skills, with the ability to explain complex legal concepts to non-legal stakeholders, both in Greek and English. </li><li>Strong attention to detail and ability to draft and review legal documents with precision and accuracy.</li><li>Ability to build and maintain strong client relationships, offering proactive legal advice and solutions.</li><li>Ability to work collaboratively within a multidisciplinary team, supporting business objectives while ensuring legal compliance.</li></ul>&nbsp;How to Apply:&nbsp;If you’re ready to take the next step in your career and join a fast-paced, forward-thinking team, we’d love to hear from you!
