RESPONSIBILITIES:<ul><li>&nbsp;Acts as Legal Advisor for all matters concerning the activities, operations, and functioning of the Group’s companies</li><li> Acts as Legal Advisor for all matters concerning the incorporation and operation of the Group’s companies</li><li>Prepares applications / documents / articles of association for the incorporation of companies and related reports and/or coordinates with the Group’s external lawyers for this purpose</li><li>Keeps / drafts minutes and resolutions and maintains records of minutes and resolutions for all Group companies</li><li>Provides legal and administrative support in the preparation of tenders in project procurements</li><li>Prepares relevant minutes and files the financial statements of the various Group companies with the Registrar of Companies in cooperation with the Finance Department</li><li>Participates in Company Mergers and Acquisitions (M&amp;A) procedures</li><li>Drafts / prepares / modifies/ improves various legal documents including: sale and purchase agreements, lease agreements, employment contracts, and all types of contracts relating to the Group’s activities, such as contracts concerning the construction and maintenance of RES Projects (EPC and O&amp;M), contracts relating to the competitive electricity market (PPA and PSA), and contracts relating to the installation and operation of electric vehicle chargers (EV Chargers Installation Agreements)</li><li>Provides legal opinions and advice to Managers and senior executives of the companies on various legal matters</li><li>Carries out tasks relating to property transfers at the Land Registry</li><li>Certifies, stamps, and obtains Apostille for documents</li><li>Prepares documents relating to Powers of Attorney, Authorisations, Certifications, and Consents for the execution of tasks and operations</li><li>Collaborates with the Group’s external Legal Advisors on various legal and litigation matters related to the Group’s activities</li><li>Collaborates with and advises the Human Resources (HR) Department on employment matters</li><li>Collaborates with the Marketing Department regarding the use of Personal Data of the Group’s employees, partners, and clients, as well as matters of intellectual property</li><li>Drafts Legal Opinions and other legal documents</li><li>Researches, prepares, and safeguards the company against legal risks</li><li>Ensures the Group’s compliance on matters relating to Health &amp; Safety in the workplace, through cooperation with the Group’s Health &amp; Safety Committee and the Head of Quality</li><li>Conducts negotiations with existing and/or potential partners and clients of the Group’s companies</li><li>Drafts and sends letters / objections / applications to public, municipal, community, and semi-governmental authorities regarding matters of the Group</li><li>Monitors Legislation and informs the Group of any changes that may affect its activities</li><li>Completes and updates the Register of Ultimate Beneficial Owners (UBOs) of all Group companies and keeps relevant filing records</li><li>Secures and maintains KYC document records of the Group’s Directors and Shareholders</li><li>Monitors, coordinates, and participates in the preparation of Contracts &amp; Agreements with Banks &amp; Investors &amp; Land/RES Project Owners</li><li>In cooperation with the secretary of the Group’s companies, monitors and handles matters:- That fall under amendments of Corporate Documents - Incorporation of new companies with the Registrar - Changes in the ownership structure of the Group’s companies - Agreements &amp; Contracts</li><li>Ensures that all necessary procedures are followed and the appropriate forms are completed, which fall under the department and document the assurance of the quality of the Group’s services, Health &amp; Safety in the workplace, and the application of environmental management measures in accordance with standards and applicable legislation (ISO 9001, ISO 45001, ISO 14001)</li><li>&nbsp;Any other duties and responsibilities that may be assigned to them under the Group’s procedures relating to the position of the Internal Legal Advisor&nbsp;</li></ul>QUALIFICATIONS:<ul><li>Degree in Law (LLB)</li><li>Excellent command of Greek and English, both oral and written</li><li>At least 3–5 years of experience in a similar role or work in the corporate department of a law firm</li><li>Knowledge of Contract, Corporate, Commercial, and Energy Law will be considered an advantage</li><li>Membership in the Cyprus Bar Association will be considered an advantage</li><li>Knowledge of Land Registry procedures and drafting of real estate–related contracts will be considered an advantage</li><li>Excellent computer user, MS Office &amp;
