Our ‘International Private Clients and Business Services and Outsourcing Department’ in Nicosia is currently seeking to recruit a semi-senior Corporate Compliance & Administration Advisor with Legal background to join our dynamic corporate team.
The Role
The successful candidate will play a key role in supporting corporate administration, governance, and compliance functions for a diverse portfolio of international clients. The position offers an excellent opportunity for a motivated professional with a strong legal background and an interest in corporate services to further develop their career within a leading professional services environment.
Our team primarily supports international clients in establishing, maintaining, and operating their businesses in Cyprus. This includes assisting with the incorporation of companies, ensuring ongoing compliance with statutory and regulatory requirements, maintaining corporate records, and managing the day-to-day administration of corporate affairs.
Given the nature of our work, which frequently involves legal, regulatory, corporate governance, and compliance matters, we are seeking a candidate with a strong legal background and a sound understanding of corporate law, as well as the Cyprus legal and regulatory framework.
The ideal candidate should be able to exercise sound judgment, communicate effectively with both clients and colleagues, possess excellent analytical, organizational, and problem-solving skills, together with exceptional attention to detail and the ability to effectively manage multiple priorities within a dynamic international business environment.
The Duties
- Liaise with clients and assist with the implementation of their day-to-day operations.
- Serve as a point of contact for clients and external parties, managing their administrative requests and providing support.
- Prepare and review a variety of corporate documents, such as board resolutions, powers of attorney, annual returns, HE forms, etc, and conduct Registrar of Companies filings.
- Coordinate and assist with the preparation and review of a variety of agreements, such as Share Sale and Purchase Agreements, Loan Agreements, Set-Off Agreements, etc.
- Liaise with banks for account openings, prepare bank forms and questionnaires, and assist with the execution of payment instructions.
- Assist with the maintenance of clients’ corporate registers and corporate records, and ensure compliance with relevant laws and regulations.
- Liaise with external parties and government agencies.
- Handle statutory submissions and filings with the Registrar of Companies.
- Liaise with the Registrar of Companies for the registration of charges and pledges.
- Assist with company incorporations.
- Assist with the amendment of memorandum and articles of association.
- Assist with general corporate administration matters.
- Assist with the implementation of redomiciliations.
- Assist with the implementation of mergers and acquisitions.
- Assist with migration matters and with the relocation of individuals to Cyprus.
The Requirements
- LLB and/or LLM.
- Qualified as an advocate in Cyprus (i.e. previously admitted to the Cyprus Bar Association).
- At least four years of post-qualification experience in corporate legal matters.
- Strong understanding of the Cyprus Companies Law, Cap. 113, and associated regulatory and Court related framework.
- Basic experience and knowledge of AML and KYC procedures and regulations.
- Pleasant personality and strong ability to manage tasks, maintain order, and interact effectively with others.
- Commitment to accuracy and thorough approach to all tasks and documentation.
- Excellent command of the English language.
- Excellent verbal and written communication skills.
- Sound computer skills and expertise with Microsoft Office Suite (Outlook, Word, Excel) and other relevant software packages.
