About the Company

We are a Cyprus-based group operating in the information technology sector, with equity interests in IT companies across several jurisdictions - primarily the United States. The group is managed from Cyprus, where its administration oversees all investments, legal affairs, and strategic decisions.

About the Role

The majority of your work will relate to the US IT group in which the Cyprus group holds a stake: M&A transactions, intercompany agreements, shareholders' matters, and review of contracts proposed by US-based co-shareholders and management. You will also handle matters arising in other jurisdictions from time to time.

You will work under the direct supervision of the Cyprus group's management, which will set your priorities, assign tasks, and review your output. For jurisdiction-specific US legal questions, you will coordinate with external US counsel - your role is to manage that process, critically assess their work product, and ensure the group's interests are properly represented. We need someone who is comfortable reading and working with US-style corporate and transactional documents, not necessarily a US-qualified specialist.

This is a hands-on, execution-focused role. We are looking for a professional who can take a task, deliver a quality result, and be someone the group's management can rely on.

Responsibilities

US Group - Corporate, M&A & Shareholder Matters

●      Review and analyse M&A transaction documents (share purchase agreements, operating/shareholders' agreements, subscription documents, side letters), identifying key terms, risks, and issues for the Cyprus group.

●      Review contracts and proposals put forward by co-shareholders or portfolio company management - management/service agreements, officer compensation arrangements, consulting contracts, related-party transactions - and prepare clear written assessments for management.

●      Track corporate actions at the US group level (board and member resolutions, capital calls, issuances, distributions) and keep management informed.

●      Support corporate governance processes for US entities in coordination with local counsel (when needed).

●      Assist with legal due diligence on new transactions as assigned.

Intercompany Agreements & Group Structuring

●      Draft and revise intercompany agreements across the group - loan agreements, cost-sharing arrangements, service agreements - in line with management's instructions and applicable transfer pricing requirements.

●      Coordinate with the group's tax and financial advisors on structuring and documentation matters.

●      Research structuring options for new jurisdictions or entities and prepare comparative analyses for management.

Other Jurisdictions, Commercial Contracts & External Counsel

●      Support entity maintenance and corporate governance for the group's companies in other jurisdictions, coordinating with local counsel.

Requirements

●      Law degree (LLB, JD, or equivalent) with relevant legal experience, preferably in an in-house/company legal role.

●      5–7 years of post-qualification experience in corporate/commercial law with a cross-border component.

●      Experience with cross-border corporate structures, M&A transactions, or investment/holding groups.

●      Ability to read, draft, and critically assess English-language corporate and transactional documents, including US-style shareholders'/operating agreements and M&A documentation.

●      Working knowledge of Cyprus Companies Law and corporate governance.

●      Experience with intercompany agreements, loan documentation, and related-party contracts.

●      Comfortable coordinating with external counsel across jurisdictions and translating legal advice into actionable summaries for management.

●      Detail-oriented, reliable, and able to manage multiple tasks in parallel.

●      Excellent written and spoken English.

Preferred

●      Experience in the IT or technology sector.

●      Background at an international law firm with exposure to multi-jurisdictional transactions.

●      Familiarity with Delaware LLC/corporate governance concepts.

●      Understanding of transfer pricing principles as they relate to intercompany agreements.

●      Additional languages (Greek, Russian) are a plus.
